"Company," "we," "us," or "our" refers to Thaare Software Services Private Limited, a company incorporated under the laws of India, trading as Chapter.Zone and Netray AI, with its registered office in Mysuru, Karnataka, India.
"Service" refers to the Chapter.Zone platform, including the WhatsApp-based bot, member directory, AI-powered tools, and all associated web properties hosted at chapter.zone and its subdomains.
"Customer," "you," or "your" refers to the organization, club, association, or individual that subscribes to and uses the Service.
"Members" refers to the individuals whose data is collected, stored, or processed through the Service on your behalf.
"Chapter" refers to a distinct organizational unit set up on the platform, identified by a unique subdomain and WhatsApp group configuration.
Chapter.Zone provides a WhatsApp-based club and association management platform that enables organizations to:
The Service relies on the WhatsApp Business API and is subject to WhatsApp's own terms of service and policies. We do not guarantee uninterrupted access to WhatsApp's infrastructure.
The Service is available exclusively to legitimate organizations, including but not limited to: registered associations, industry bodies, professional guilds, chambers of commerce, service clubs (Rotary, Lions, Yi, JCI, etc.), cooperatives, and other bona fide membership organizations.
By subscribing, you represent and warrant that:
Each chapter is provisioned after: (a) successful payment of the setup fee, (b) verification of the organization's legitimacy at our sole discretion, and (c) completion of the WhatsApp group configuration process.
We reserve the right to decline setup for any organization that we believe, at our sole discretion, does not meet our eligibility requirements or poses a risk to the platform's integrity.
A one-time, non-refundable setup fee is charged per member at the rate applicable at the time of signup. The setup fee covers infrastructure provisioning, bot configuration, directory setup, and initial onboarding support.
A recurring monthly fee is charged per member for ongoing platform access, AI features, WhatsApp messaging, hosting, and support. Monthly billing begins on the date of chapter activation.
All prices are exclusive of GST. Goods and Services Tax at the applicable rate (currently 18%) will be added to all invoices. A GST-compliant tax invoice will be provided.
Chapters affiliated with Young Indians (Yi), Confederation of Indian Industry (CII), or other partner organizations may be eligible for a 50% discount on setup and monthly fees, subject to verification of membership. Discounts are applied at our discretion and may be modified or withdrawn at any time.
Payments are accepted via UPI (Unified Payments Interface) to the designated UPI ID: thaare@idfcbank. Other payment methods may be made available at our discretion. All payments must be in Indian Rupees (INR).
You retain full ownership of all member data collected through the Service. We process this data solely on your behalf and in accordance with your instructions, our Privacy Policy, and applicable data protection laws.

You are responsible for obtaining all necessary consents from your members before their data is collected and processed through the Service. We provide consent mechanisms within the WhatsApp onboarding flow, but ultimate responsibility rests with you.
Each chapter's data is logically isolated. No chapter can access another chapter's member data. Admin access is restricted to designated chapter administrators.
You agree not to use the Service to:
You may cancel your subscription at any time by notifying us via WhatsApp at +91 93805 95715 or email at hello@netray.co. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
We may suspend or terminate your chapter immediately and without prior notice if:
We reserve the right, at our sole discretion, to remove, suspend, or refuse service to any chapter for any reason, including but not limited to: suspected misuse, organizational disputes, reputational risk, or incompatibility with our platform values. This right may be exercised without prior notice, though we will endeavor to communicate the reason when practical.
Upon termination, your chapter will be deactivated, and the bot will stop responding. Your data will be retained for 30 days to allow for export (see Section 9). After 30 days, data may be permanently deleted.
Upon request (made within 30 days of cancellation), we will provide a complete export of your member data in CSV format at no additional charge. Requests should be made via WhatsApp or email.
All intellectual property rights in the Service, including but not limited to:
are and shall remain the exclusive property of Thaare Software Services Private Limited. No license or right is granted except the limited right to use the Service as a subscriber during your active subscription period.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
To the maximum extent permitted by applicable law, Thaare Software Solutions Pvt Ltd, its directors, employees, and agents shall not be liable for:
You agree to indemnify and hold harmless Thaare Software Solutions Pvt Ltd from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any data you process through the Service.
We may update these Terms from time to time. Material changes will be communicated via WhatsApp or email at least 15 days before they take effect. Continued use of the Service after such notice constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of India, specifically the laws of the State of Karnataka.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Mysuru (Mysore), Karnataka, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Thaare Software Solutions Pvt Ltd with respect to the Service and supersede all prior agreements and understandings.
